1. Scope of the Program

Affiliates are authorized to promote Synergy Web’s website design and hosting services only. No other services or products qualify for referral commissions. Affiliates may use only the materials and language provided or approved by the Company.

2. Commission & Payout

Affiliates will earn a once-off commission of 10–20% on the design fee for each qualified sale. Commission is determined at Synergy Web’s discretion, with a minimum of R150 per sale.

A "qualified sale" is defined as:

A client not previously associated with Synergy Web, who completes full payment, and does not cancel or request a refund within 30 days.

Commissions are paid out monthly via a mutually agreed payment method.

3. Prohibited Conduct

Affiliates must NOT:

a. Make false, misleading, or exaggerated claims about Synergy Web’s services.

b. Impersonate Synergy Web, its staff, or representatives.

c. Offer unapproved discounts, guarantees, or promotions.

d. Engage in spam, click fraud, fake reviews, or deceptive marketing practices.

e. Use copyrighted or trademarked materials without explicit permission.

4. Non-Solicitation & Non-Compete

Affiliates agree:

a. Not to directly or indirectly solicit, approach, or offer competing services to any current or past Synergy Web clients during participation in this program and for 10 years after termination.

b. Not to use leads, data, or insights gained through this program to create or support a competing business or service.

5. Independent Contractor Relationship

Affiliates participate as independent contractors, not employees, partners, or legal representatives of Synergy Web. This agreement does not create a joint venture, franchise, or employment relationship.

6. Limitation of Liability & Indemnification

6.1 Limitation of Liability

Synergy Web is not liable for any indirect, incidental, special, consequential, or punitive damages — including loss of revenue, profits, clients, or reputation — arising from or related to this program, even if advised of the possibility of such damages. Synergy Web assumes no responsibility for any representations, guarantees, or promises made by Affiliates. The Affiliate alone is responsible for their actions and content.

6.2 Disclaimer of Warranties

The Affiliate Program is provided “as is” without warranty of any kind. Synergy Web does not guarantee specific results or income and disclaims all warranties, express or implied, to the fullest extent permitted by law.

6.3 Indemnification

The Affiliate agrees to indemnify, defend, and hold harmless Synergy Web, its owners, employees, and agents from any claims, losses, liabilities, or damages (including legal fees) arising from:

a. Breach of this Agreement,

b. Violation of applicable laws or third-party rights,

c. False or unauthorized representations,

d. Fraudulent or misleading promotional practices.

7. Termination

Synergy Web may terminate this agreement at any time, with or without cause. If terminated for violation of these terms, the Affiliate forfeits all unpaid and pending commissions. Upon termination, all use of Synergy Web’s materials and name must cease immediately. Any use of Synergy Web's assets, name and brand after termination may result in legal action. The onus is on the Affiliate to settle all legal fees in the case of a dispute. 

8. Governing Law

This agreement is governed by the laws of the Republic of South Africa. Any disputes will be resolved in accordance with South African legal procedures and jurisdiction.

9. Agreement Acceptance

By applying to and participating in the Synergy Web Affiliate Program, the Affiliate confirms that they have read, understood, and agreed to all terms outlined in this agreement.
